These Terms of Use ("Terms") govern access to and use of PropInSync ("PropInSync", "we", "our", or "us"), a real estate sales operations software platform. By accessing or using PropInSync, you agree to these Terms. If you do not agree, do not use the service.
1. Use of the Service
PropInSync provides software tools for managing real estate business operations, including projects, inventory, leads, visits, team members, notifications, uploads, and related sales workflows.
You may use PropInSync only for lawful business purposes, as authorized by your organization, and in compliance with applicable laws and regulations.
2. Accounts and Access
Users must provide accurate account information and keep login credentials confidential. You are responsible for all activity under your account.
Organizations are responsible for creating and managing authorized users, assigning appropriate roles and permissions, removing users who should no longer have access, and ensuring users comply with these Terms.
We may suspend or restrict access if we suspect unauthorized use, security risk, abuse, unpaid fees, or violation of these Terms.
3. Customer and Business Data
Organizations and users retain ownership of data they submit to PropInSync. By submitting data, you grant PropInSync the right to process, store, transmit, display, and use that data as necessary to provide and operate the service.
You represent that you have all necessary rights, permissions, and legal bases to upload or process customer, lead, employee, project, inventory, file, and communication data in PropInSync.
You are responsible for the accuracy, legality, and completeness of data entered into PropInSync.
4. Prohibited Use
You must not:
- Use PropInSync for unlawful, fraudulent, harmful, or abusive purposes.
- Upload malware, viruses, or harmful code.
- Attempt unauthorized access to accounts, systems, data, or infrastructure.
- Interfere with or disrupt the service.
- Reverse engineer, copy, modify, or create derivative works from PropInSync unless permitted by law.
- Upload data you are not authorized to process.
- Share login credentials with unauthorized persons.
- Circumvent security or access controls.
- Use automated scraping, crawling, or extraction without permission.
5. Uploaded Files and Content
Users may upload files, images, documents, spreadsheets, and other content. You are responsible for ensuring uploaded content is lawful, accurate, virus-free, and does not infringe third-party rights.
We may remove or restrict content if we believe it violates these Terms, law, or platform security requirements.
6. Third-Party Services
PropInSync may depend on third-party providers for hosting, storage, databases, email delivery, infrastructure, and other services. We are not responsible for failures, outages, data loss, delays, or issues caused by third-party services beyond our reasonable control.
7. Availability and Changes
We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or always-available access. We may modify, suspend, discontinue, or limit parts of the service at any time, including for maintenance, upgrades, security, legal compliance, or business reasons.
For an MVP or beta-stage product, features may change frequently and may contain bugs or limitations.
8. Fees and Payment
If PropInSync is provided under a paid plan, subscription, pilot, or commercial agreement, fees, billing terms, taxes, renewals, and cancellation terms will be described in the applicable order form, invoice, proposal, or written agreement. Unless otherwise stated, fees are non-refundable.
9. Intellectual Property
PropInSync, including its software, design, workflows, branding, documentation, and related materials, is owned by us or our licensors. These Terms do not transfer ownership of PropInSync or its intellectual property to you.
10. Confidentiality
Users may access confidential business, customer, project, pricing, inventory, lead, or operational data through PropInSync. You agree to protect confidential information and use it only for authorized business purposes.
11. Privacy
Our handling of personal information is described in our Privacy Policy. By using PropInSync, you agree that we may collect, use, and process information as described in the Privacy Policy.
12. Disclaimers and Limitation of Liability
PropInSync is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.
PropInSync is a business software tool. It does not provide legal, financial, tax, accounting, real estate regulatory, or investment advice. Users are responsible for verifying business decisions, customer commitments, pricing, inventory status, bookings, legal compliance, and communications outside the platform.
To the maximum extent permitted by law, PropInSync and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, goodwill, business opportunity, or data; service interruptions; unauthorized access caused by user negligence; user-entered data errors; or third-party service failures.
Our total liability for any claim relating to PropInSync will not exceed the amount paid by you to us for the service in the three months before the claim, or INR 10,000, whichever is lower, unless applicable law requires otherwise.
13. Indemnity
You agree to indemnify and hold harmless PropInSync and its owners, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, or expenses arising from your use of PropInSync, your violation of these Terms, data or content you upload, your violation of law or third-party rights, unauthorized use of your account, or business decisions made using PropInSync data.
14. Termination
We may suspend or terminate access if you violate these Terms, required fees are unpaid, your organization's subscription expires, continued access creates legal, security, or operational risk, or we discontinue the service.
15. Governing Law and Disputes
These Terms are governed by the laws of India, unless otherwise required by applicable law. Courts located in Mumbai, Maharashtra, India will have exclusive jurisdiction over disputes, unless another written agreement states otherwise.
16. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted with a revised "Last updated" date. Continued use of PropInSync after changes means you accept the updated Terms.
